Nora Terms of Service

Welcome to Nora! This Terms of Service Agreement (“Agreement”) constitutes a legally binding agreement between you (“User” or “You”) and Fengcen (“We,” “Us,” “Our,” or “Nora”) regarding your access to and use of the Nora web service, website, applications, and related features (collectively, the “Service”).

Please read this Agreement carefully. By registering for, accessing, or using the Service, you represent that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy (available at Privacy Policy, which is incorporated herein by reference). If you do not agree to these terms, please do not access or use the Service.

1. Description of Service

Nora is a web service operated by Fengcen designed to provide a unified and convenient platform for users to access and utilize various third-party large language models (LLMs), such as ChatGPT, Claude, Gemini, DeepSeek, etc. The Service includes, but is not limited to:

  • Selecting and switching between different AI models.
  • Integrated utility tools, such as:
  • Web search functionality combining real-time web information.
  • "File Chat" feature for conversations based on the content of uploaded files (text, PDF, images, etc.).
  • "Image Generation" feature for generating images based on text descriptions.
  • "Canvas Mode" for organizing thoughts and visualization.
  • Rendering and display of complex content formats (e.g., mathematical formulas, SVG graphics, basic HTML).

2. Account Registration and Security

  • Registration: You need to register for a Fengcen Account to access and use the core features of the Service. When registering, you agree to provide accurate, current, and complete information (such as name, email address) and to maintain the accuracy of this information. Your Fengcen Account may be used to access other products or services developed by Fengcen, subject to their applicable terms.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (such as your password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Fengcen will not be liable for any loss or damage arising from your failure to comply with this section.
  • Eligibility: You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3. Fees, Payment, and Credits

  • Billing Model: Nora employs a hybrid billing model:
  • Basic Subscription: Users are required to pay a fixed monthly subscription fee (e.g., $2.99 USD/month, specific amount displayed at the time of purchase) to maintain account activation and basic platform access. The subscription fee will automatically renew unless canceled by you before the end of the current billing cycle.
  • On-Demand Credits: Using specific Service features, particularly calling large language models, generating images, processing files, etc., consumes credits. Users can purchase credits as needed.
  • Payment Processing: All subscription fees and credit top-ups are processed through third-party payment service providers (e.g., Stripe). You agree to abide by the terms and conditions of such payment providers. We do not store your full payment card information directly.
  • Credit Consumption: Credits will be deducted based on your actual usage (e.g., type of model called, input/output volume, number/size of images generated, size/pages of files processed, etc.). We strive to keep the model usage pricing consistent with the official pricing of the original model providers, but price differences may occur due to the use of different vendors (e.g., switching to a backup vendor if the primary one is unstable). The actual credits deducted will be based on the prevailing pricing of the selected model and vendor at the time of your use. You can view detailed consumption records in your account's credit usage history.
  • Top-Up Processing Fee: A percentage-based processing fee may be charged when purchasing credits to cover payment processing costs. The specific rate will be clearly indicated at the time of top-up.
  • No Refunds: Unless otherwise required by applicable law, all paid subscription fees and purchased credits are non-refundable. No pro-rata refunds will be issued even if you stop using the Service during a subscription period or if your account is terminated.
  • Price Changes: We reserve the right to change subscription fees, credit prices, or introduce new charges at any time. Any price changes will take effect after reasonable notice (e.g., via email or in-service notification).

4. User Content and Conduct

  • User Content: You are solely responsible for all information and materials that you submit, upload, input, or generate through the Service, including but not limited to text prompts, questions, uploaded files and their content, image generation descriptions, canvas content, and communications with customer support (collectively, "User Content").
  • Acceptable Use: You agree not to use the Service for any illegal, infringing, harmful, fraudulent, defamatory, obscene, harassing, or otherwise objectionable activities. You shall not:
  • Violate any applicable local, state, national, or international laws or regulations.
  • Infringe upon or misappropriate the intellectual property or other rights of any third party.
  • Upload or transmit any viruses, worms, malware, or other harmful code.
  • Attempt to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to generate or disseminate illegal content, hate speech, disinformation, unsolicited commercial promotions or spam, or engage in any abusive behavior towards AI models (e.g., attempting to bypass safety measures or generate prohibited content).
  • Violate the usage policies of third-party model providers.

5. Intellectual Property Rights

  • Ownership of the Service: The Service, including its website, applications, software, interfaces, graphics, design, compilation, information, data, computer code, products, and all other elements and components thereof (excluding Your User Content), is exclusively owned and operated by Fengcen or its licensors. The Service is protected by U.S. and international intellectual property laws, including copyright, trademark, patent, and trade secret laws. Fengcen and its licensors reserve all rights, title, and interest in and to the Service not expressly granted in this Agreement.
  • Ownership of Your Content: As between you and Fengcen, and subject to the terms of this Agreement and applicable law, you own the input you provide to the Service (“Input”) and the output generated for you by the Service based on your Input (“Output”). (Input and Output are collectively referred to as “User Content” in this Agreement). You are solely responsible for your User Content, including ensuring that it does not violate any applicable law or the terms of this Agreement, and that you own or have secured all necessary rights to use and authorize us to use your User Content. Due to the nature of artificial intelligence services, different users may receive the same or very similar output, and your rights are limited to the specific output you received, not extending to the same or similar output that other users may receive or generate.
  • License to Fengcen: To enable us to operate, provide, maintain, promote, and improve the Service, develop new services, comply with applicable law, and enforce our policies, you hereby grant Fengcen and its affiliates a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with the Service), communicate, publish, publicly perform, publicly display, and distribute your User Content. A key use under this license is forwarding your Input to the appropriate third-party AI model provider to process your request and generate Output. As described in our Privacy Policy, Fengcen commits not to use the specific Inputs you submit to AI models or the specific Outputs generated therefrom to train our own AI models. However, you understand and agree that third-party model providers will process your Input (and potentially Output containing Input) according to their respective privacy policies and terms, which may include using it for model improvement (e.g., for model training). The license you grant to Fengcen is perpetual and survives even after you stop using our Service, for limited purposes such as backup, archival, legal obligations, or service improvement (e.g., analyzing aggregated, anonymized usage patterns).
  • License to You: Subject to your ongoing compliance with this Agreement, Fengcen grants you a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to access and use the Service solely for your personal or internal business purposes, strictly as permitted by this Agreement.
  • Feedback: If you provide Fengcen with any feedback, ideas, or suggestions regarding the Service (“Feedback”), you agree that Fengcen is free to use, disclose, reproduce, license, distribute, and exploit such Feedback without restriction, payment, or obligation to you.
  • Restrictions: Except as expressly permitted in this Agreement, you may not: (a) license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Service or any portion thereof; (b) modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Service; (c) access the Service in order to build a similar or competitive website, product, or service; (d) copy, distribute, publicly display or publicly perform any part of the Service (except for your User Content). You also may not remove, obscure, or alter any copyright, trademark, or other proprietary rights notices appearing on the Service.

6. Third-Party Services

The Service relies on third-party services, including but not limited to AI model providers (such as OpenAI, Google, Anthropic, DeepSeek, etc.) and payment processors (such as Stripe). You acknowledge and agree that:

  • This Agreement and our Privacy Policy do not apply to the practices of these third parties. We are not responsible for the content, privacy policies, data processing practices (especially regarding how they use the content you submit), or the availability or reliability of any third-party services.
  • We strongly advise you to review the terms and privacy policies of the relevant third-party service providers.
  • Your interactions with any third party are solely at your own risk.

7. Privacy

Our collection, use, storage, and sharing of your personal information are governed by our Privacy Policy (available at Privacy Policy). By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

8. Disclaimers and Limitation of Liability

  • AS IS: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. FENGCEN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, RELIABLE, OR SUITABLE FOR YOUR NEEDS.
  • AI Outputs: YOU ACKNOWLEDGE THAT OUTPUTS GENERATED BY AI MODELS MAY NOT ALWAYS BE ACCURATE, COMPLETE, OR CURRENT, AND MAY SOMETIMES CONTAIN ERRORS, BIAS, OR INAPPROPRIATE CONTENT. AI-GENERATED CONTENT DOES NOT REPRESENT FENGCEN'S VIEWS. YOU SHOULD INDEPENDENTLY EVALUATE AND VERIFY THE ACCURACY AND APPROPRIATENESS OF ANY INFORMATION OBTAINED THROUGH THE SERVICE AND SHOULD NOT RELY ON OUTPUTS AS PROFESSIONAL ADVICE (E.G., LEGAL, FINANCIAL, OR MEDICAL ADVICE). FENGCEN IS NOT LIABLE FOR ANY DAMAGES OR LOSSES ARISING FROM YOUR RELIANCE ON AI OUTPUTS.
  • Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FENGCEN, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; EVEN IF FENGCEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF FENGCEN ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE EXCEED THE GREATER OF THE TOTAL AMOUNT PAID BY YOU TO FENGCEN FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100 USD). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN TYPES OF DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to defend, indemnify, and hold harmless Fengcen and its affiliates, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your User Content, including without limitation any claim that your User Content infringes or misappropriates the rights of a third party; (c) your violation of this Agreement; (d) your violation of any applicable laws or regulations; or (e) your violation of any rights of any third party.

10. Term and Termination

  • Termination by You: You may cancel your Nora subscription and stop using the Service at any time through your Fengcen Account settings. You may request deletion of your Fengcen Account as described in Section 5 of the Privacy Policy. Deleting your Fengcen Account may affect your access to other services provided by Fengcen.
  • Termination by Fengcen: We reserve the right, in our sole discretion, to suspend or terminate your access to and use of the Service at any time and for any reason (including, without limitation, your breach of this Agreement, abuse of the Service, prolonged inactivity, or as required by law) or no reason, with or without prior notice.
  • Effect of Termination: Upon termination, your right to use the Service will immediately cease. Provisions regarding payment of fees (for amounts accrued), intellectual property, licenses to User Content (for limited purposes), disclaimers, limitation of liability, indemnification, governing law and dispute resolution, and miscellaneous terms shall survive the termination of this Agreement. We will handle your data according to Section 4 (Data Retention) of the Privacy Policy.

11. Modification of Terms

We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. If we make material changes, we will notify you before the changes take effect by sending a notice to the email address associated with your Fengcen Account, posting a notice within the Service, or by other means we deem appropriate. What constitutes a material change and its effective date will be determined at our sole discretion. The "Last Updated" date will reflect the latest version. Your continued access to or use of the Service after any such changes become effective constitutes your agreement to be bound by the revised Agreement. If you do not agree to the new terms, you must stop using the Service. We encourage you to review this Agreement periodically.

12. Governing Law and Dispute Resolution

This Agreement and its interpretation shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. The parties agree that any legal action or proceeding arising out of or relating to this Agreement or the Service shall be brought exclusively in the federal or state courts (as applicable) located in Wyoming, and the parties hereby consent to and waive any objection to the personal jurisdiction and venue of such courts.

13. Miscellaneous

  • Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Fengcen regarding the Service and supersedes all prior or contemporaneous oral or written communications and proposals between you and Fengcen.
  • Severability: If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.
  • No Waiver: The failure of Fengcen to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Fengcen to be effective.
  • Assignment: You may not assign or transfer this Agreement or any rights or obligations hereunder without Fengcen's prior written consent. Any attempted assignment in violation of this provision shall be null and void. Fengcen may freely assign or transfer this Agreement without restriction. This Agreement is binding upon and inures to the benefit of the parties and their respective successors and permitted assigns.
  • Notices: Fengcen may provide notices to you via email, postings on the Service website, or other regular means of communication through the Service. Notices sent to the email address associated with your Fengcen Account are deemed delivered.
  • Headings: The section headings in this Agreement are for convenience only and have no legal or contractual effect.
